Why it matters

Short answer

Unpaid shares are shares a company has issued where the shareholder has not yet paid the nominal value. The shareholder still owes that amount to the company, and it is exactly the sum they can be required to pay if the company becomes insolvent.

How they show up

Many small companies are formed with 100 £1 shares that are never paid for. Accounts then show "called up share capital not paid" as an asset, and the confirmation statement records the amount unpaid per share.

It is perfectly legal for a private company. Paying the money in later is simple: transfer the nominal value to the company bank account and record it.

Why it matters

Limited liability means limited to what is unpaid on your shares. With £100 unpaid, a liquidator can call that £100 from you — but no more, unless other personal liability applies.

Before you act

Rates, thresholds and deadlines quoted here reflect the 2026/27 UK position and current Companies House and HMRC guidance. Check GOV.UK, or ask us, before relying on them for your own company.
