The rules that shape this work

A first accounting period runs from incorporation to the end of the month of the first anniversary, so it is usually longer than twelve months. A company tax return cannot cover more than twelve months, so the first period is split into two returns while Companies House still receives one set of accounts.

The first accounts are due 21 months after incorporation, and the first confirmation statement 14 days after the first review period ends. Those two dates are different from the ongoing nine month and annual cycles, which is why first year directors miss them.

You can only claim pre-trading expenditure incurred in the seven years before trading began, and only if it would have been allowable once trading. Keep the receipts from before incorporation, they are frequently deductible.

When should a new company appoint an accountant?

Before the first invoice, ideally. The decisions that cost money later, the year end date, VAT registration timing, how you pay yourself and how you record expenses, are all made in the first few weeks.

Do I need to register for VAT straight away?

Only if taxable turnover will pass £90,000 in a rolling twelve months, or you expect to exceed it in the next 30 days alone. Voluntary registration can still pay if your customers are VAT registered and you buy significant goods or services.

What salary should a new director take?

For 2026/27 the common answer is a salary around the National Insurance secondary threshold with dividends on top, but it depends on whether you have other employment income, whether Employment Allowance is available and whether the company is profitable yet. We model it rather than repeating a figure.

Can you form the company for me?

Yes, including share structure, registered office and the HMRC registrations, so nothing is left half set up.
