Dormant Company Formation and Name Protection

Dormant limited company formation for future trading: Companies House registration, HMRC dormancy notification and ongoing accounts and confirmation statements.

Short answer

A dormant company is incorporated at Companies House in the normal way; there is no separate dormant company type. It can remain inactive while you prepare to trade, but it still needs annual accounts and confirmation statements. HMRC's Corporation Tax dormancy test is separate, so tell HMRC and deal with any notice to file a tax return.

What this means for your company

Registering early can establish a company for a future project, but 'not trading' is not the same as having no responsibilities. Our dormant company formation service brings registration, HMRC correspondence and a clear filing calendar together. We help founders in London, Morden and Croydon and work remotely with clients across the UK; the statutory rules are the same nationwide.

How dormant company formation works

First we confirm whether a private company limited by shares is suitable, check the proposed name and agree the shareholding and directors. Incorporation needs a registered office, a registered email address, an appropriate SIC code, articles of association and information about people with significant control (PSCs). Directors' identity verification and PSC requirements must be dealt with at the relevant stage.

Companies House issues a certificate of incorporation. Dormancy is then assessed from what the company actually does, rather than a label selected on registration. We agree who will receive official correspondence, maintain the records and complete each continuing filing before work starts.

Companies House dormancy: no significant accounting transactions

For Companies House, a company is dormant for a financial year if it has no significant accounting transactions. Payments for shares taken by subscribers on incorporation, Companies House filing fees and late-filing penalties are excluded. Other transactions need checking: bank charges, interest, buying assets or paying business expenses can prevent dormant accounts being appropriate.

A company that owns property or receives investment income should not assume it is dormant simply because it has no customers. We check the accounting records before deciding what type of annual accounts is required.

HMRC dormancy: a separate Corporation Tax test

A new company that has not started trading may be dormant for Corporation Tax. A previously active company is generally dormant when it has stopped trading and has no other income. HMRC and Companies House apply different tests; satisfying one does not automatically satisfy the other.

Tell HMRC that the company is dormant using its Corporation Tax details. Keep HMRC's response. If a notice to deliver a Company Tax Return has already been issued, file the return unless HMRC tells you it is not required. After notification, further returns are generally unnecessary unless HMRC requests one or the company becomes active again. Dormancy does not erase earlier tax liabilities or outstanding returns.

Annual accounts and confirmation statements still continue

Dormant companies must still submit annual accounts and a confirmation statement and keep their registered office, registered email, directors and PSC information accurate. Dormancy does not cancel Companies House deadlines. Check the company's register entry for the actual dates rather than assuming they run from when HMRC was notified.

A qualifying small dormant company may use simplified dormant accounts. Form AA02 is intended for qualifying companies limited by shares that have never traded; it is not suitable for every dormant company. We check eligibility and prior activity before selecting the filing method. Missing accounts can result in penalties, while persistent filing failures can lead to strike-off action.

A registered company name is not a trade mark

Incorporation helps prevent registration of the same company name, subject to Companies House naming rules. It does not automatically protect a brand, domain name or trading name against all third-party use. Trade mark protection is separate; get specialist legal advice where brand protection is important.

Starting to trade later

When the company becomes active, tell HMRC within the applicable three-month registration period and check whether PAYE or VAT registration is required. Significant transactions may end Companies House dormancy before the first sale, so record the activity date and retain supporting records.

We review the dormant period, the first active accounting period and any existing filing notices together. You can then move to year-end accounts and Corporation Tax support without leaving the inactive period unresolved.

What to bring to your consultation

For a new company, bring your proposed name, intended activity, directors, shareholders and planned trading date. For an existing company, send the company number, bank statements, previous accounts and any HMRC or Companies House letters. We confirm whether formation, dormancy notification, dormant accounts or overdue compliance work is actually needed.

Frequently asked

Dormant Company Formation and Name Protection: questions directors ask

Can I register a company just to protect a name?

Yes, but incorporation is not trade mark protection. The company must still file annual accounts and confirmation statements even if it never trades.

Does forming a company automatically tell HMRC it is dormant?

Do not assume so. Notify HMRC of Corporation Tax dormancy, retain the response and deal with any existing notice to deliver a tax return.

Does a dormant company pay tax?

A company that is genuinely dormant for Corporation Tax normally has no current trading tax to pay. Earlier liabilities and returns remain due, and taxable income can change its status.

Can a dormant company have a bank account?

Yes, but transactions such as bank fees or interest can affect dormancy. Review the records under the separate Companies House and HMRC tests.

Can every dormant company file AA02?

No. AA02 is for qualifying companies limited by shares that have never traded. Previously active companies and other structures may need a different accounts format.

Do I need a confirmation statement if the company has never traded?

Yes. Dormancy does not remove the confirmation statement requirement or the need to keep company details up to date.

What happens if I forget the filings?

Companies House charges late filing penalties for accounts and may strike the company off for missed filings.

What records are needed for dormant company formation and name protection?

Keep bank statements, sales and platform reports, purchase invoices, payroll records, VAT workings, finance agreements and Companies House correspondence. We confirm the exact list at onboarding and identify gaps before a filing deadline becomes urgent.

How much does help with dormant company formation and name protection cost?

The fee depends on transaction volume, record quality, VAT and payroll requirements, historic catch-up and the level of reporting needed. We agree a fixed scope and price before technical work starts, with published packages available on our fees page.

Can you take over dormant company formation and name protection from another accountant?

Yes. We request professional clearance, collect the prior records and authorities, check the next Companies House and HMRC deadlines, and give you one clear handover list. The process is normally completed remotely.
