The rules that shape this work

Business Asset Disposal Relief applies to qualifying disposals up to a £1m lifetime limit, with the rate at 14% for disposals on or after 6 April 2025 and rising to 18% from 6 April 2026. Main-rate capital gains tax on shares is 24%. Conditions include a two-year qualifying period, so eligibility is decided long before the sale.

Buyers pay for reliable numbers. Three years of consistent accounting policy, a clean revenue recognition basis and management accounts that reconcile to statutory accounts have a direct effect on price and on how much of it is held back.

Unfiled share issues, undocumented option promises, informal director loans and unclaimed or over-claimed R&D are the four issues most likely to create warranties, escrow or a price chip.

How far ahead should we prepare?

Two years is ideal, because that is the qualifying window for the main shareholder relief and long enough to produce a consistent trading record.

What is a normalised EBITDA?

Trading profit adjusted for one-off, owner-specific or non-recurring items, the figure the buyer's multiple is applied to. Every add-back needs evidence, or it will be rejected.

Will our director's loan account be a problem?

It needs clearing or documenting before completion. Overdrawn loan accounts create section 455 tax and are a routine diligence finding.

Do you work alongside our corporate finance adviser?
