The rules that shape this work

A property company deducts mortgage interest in full against rental profit, unlike a personally held residential let where relief is restricted to a 20% reducer. That single difference is the reason most geared landlords look at an SPV, but extracting profit from the company is a second tax event in your own hands.

SIC code 68209 or similar is what most buy to let lenders expect on an SPV, and many will not lend to a company with trading activity mixed in. Keeping the vehicle clean is a lending requirement as much as a tax one.

Whether a project is investment or trading changes everything: a trading development company pays corporation tax on profit and has no capital gains treatment, while an investment company holds property as a fixed asset. Additional dwelling stamp duty at 5% on top of standard rates applies to company purchases of residential property from the first pound, and the 15% flat rate and ATED can apply above £500,000 unless a relief is claimed.

Do most SPVs qualify as micro-entities?

Usually yes on size, but lenders and brokers often want more detail than FRS 105 provides. FRS 102 Section 1A accounts with a proper profit and loss account are frequently the better choice for refinancing.

Can I lend my own money to the SPV for a deposit?

Yes, through a director loan account. It can be repaid later tax free, which makes it one of the more efficient ways to get money back out, provided the loan is properly recorded from the start.

Does ATED apply to my property company?

Annual Tax on Enveloped Dwellings applies to companies holding residential property worth over £500,000, but reliefs cover genuine commercial letting to unconnected tenants. The relief must be claimed on an ATED return each year, so a nil return is still a return.

Should each property have its own SPV?

Some lenders prefer it and it isolates risk, but every company means another set of accounts, another confirmation statement and a further split of the corporation tax thresholds between associated companies. Most portfolios sit better in a small number of vehicles.
