The rules that shape this work

Employer National Insurance is 15% above a £5,000 secondary threshold, and the Employment Allowance is up to £10,500 but not available where the sole employee is a single director. Those two facts drive most early director salary decisions.

Auto-enrolment applies from your first eligible worker: assess, enrol, contribute at least 3% employer, and file a declaration of compliance with The Pensions Regulator. Postponement is allowed but the duties do not go away.

Any share, option or equity award to an employee or director is a reportable event. The employment-related securities return is due by 6 July following the tax year, EMI grants must be notified within 92 days, and penalties for missing either are automatic.

Startup payroll & equity: questions directors ask

What salary should a startup director take?

Commonly a salary around the National Insurance thresholds to preserve a qualifying year for state pension while keeping employer NIC low, topped up with dividends if there are distributable profits. Loss-making startups often take more as salary, the modelling is company-specific.

Do share options go through payroll?

EMI options exercised at or above the agreed market value at grant generally carry no income tax or NIC. Non-qualifying options usually create a PAYE and NIC charge at exercise for readily convertible assets, so the scheme choice has direct payroll consequences.

We hired someone overseas, can they go on UK payroll?

Usually not. Someone physically working in another country typically creates a local payroll and social security obligation there, and sometimes a permanent establishment for the company. Check before the offer, not after.

What is the 6 July deadline?

The annual employment-related securities return covering share and option activity in the tax year. It is easy to overlook and carries automatic penalties.

What records are needed for startup payroll & equity?

Keep bank statements, sales and platform reports, purchase invoices, payroll records, VAT workings, finance agreements and Companies House correspondence. We confirm the exact list at onboarding and identify gaps before a filing deadline becomes urgent.
