The rules that shape this work

A company is dormant for Companies House purposes when it has had no significant accounting transactions in the period. Payments for shares taken by subscribers on formation, filing fees and late filing penalties are specifically ignored, but a single bank charge or a pound of interest ends dormancy and full accounts become due.

HMRC dormancy is a separate test and needs telling separately. Until HMRC agrees, notices to deliver a company tax return keep coming and a £100 penalty applies for ignoring one, even with no tax to pay.

Dormant companies still file a confirmation statement each year with the £34 fee, still maintain a register of people with significant control, and are still struck off if filings are missed, which is how directors lose a company name they were protecting.

Does a dormant company need an accountant?

Not legally, but the filings still have to be right and on time. A fixed annual fee is usually cheaper than one late filing penalty, and it stops the company being struck off while you are not watching it.

How much should dormant company accounts cost?

A modest fixed annual fee, well below a trading company. We quote it as an annual figure covering the dormant accounts and the confirmation statement.

Can a dormant company keep a bank account?

It can hold one, but any transaction other than the permitted exceptions ends dormancy. Most directors close the account or make sure no interest or charges run through it.

Do we still pay corporation tax?

No, a genuinely dormant company has no profit. Once HMRC accepts dormancy it normally stops issuing notices to file, though it will review the position periodically.

What records are needed for dormant company accountants?

Keep bank statements, sales and platform reports, purchase invoices, payroll records, VAT workings, finance agreements and Companies House correspondence. We confirm the exact list at onboarding and identify gaps before a filing deadline becomes urgent.
