The rules that shape this work

Founder shares are cheapest and cleanest when issued at incorporation, at nominal value, before the company has value. Issuing equity to a co-founder after a raise creates an employment-related securities charge on the difference between price paid and market value.

Ordinary share capital structure matters for SEIS, EIS and EMI eligibility. Preference rights, multiple classes or an offshore parent introduced early can quietly disqualify reliefs worth six figures.

New companies must register for corporation tax within three months of starting to trade, file a confirmation statement annually, and keep the PSC register accurate. Companies House identity verification requirements now apply to directors and PSCs, so allow time for it.

Should I form the company myself for £50?

You can, and for a single-founder consultancy that is often fine. Where there are co-founders, future investors, vesting or share options in view, the structural decisions at incorporation are worth an hour of advice.

How should we split shares between founders?

Whatever you agree, put vesting on it and document it. Equal splits with no vesting cause more startup failures than tax ever does.

Do we need to register for VAT immediately?

Only once taxable turnover passes £90,000 in a rolling twelve months, but voluntary registration is often worth it where your customers are VAT-registered businesses and you have real input VAT to reclaim.

Can a non-UK resident set up a UK company?

Yes. There is no residency requirement for directors or shareholders, though you will need a UK registered office, identity verification, and realistic planning for banking and tax residence.

What records are needed for startup company formation?

Keep bank statements, sales and platform reports, purchase invoices, payroll records, VAT workings, finance agreements and Companies House correspondence. We confirm the exact list at onboarding and identify gaps before a filing deadline becomes urgent.
