Routes to restoration

Administrative restoration is available where the company was struck off by the registrar rather than dissolved after liquidation, the applicant was a director or member, and the application is made within six years. Outstanding filings must be brought up to date and any penalties paid as part of the process.

Court restoration is needed outside that route, for example where more than six years have passed for some claims, where creditors need to pursue a claim, or where the strike off followed a liquidation. It is a formal court application and is slower and more costly than the administrative route.

Doing the wind-up properly the first time

Most restorations happen because something was missed before dissolution: an asset left in the company's name, a debt not settled, or HMRC discovering unpaid tax after the fact. Settling all liabilities, distributing all assets and filing final accounts and a final CT600 before applying to strike off avoids this entirely.

Where reserves are significant or the position is uncertain, a members' voluntary liquidation run by a licensed insolvency practitioner provides a more formal check that nothing is left outstanding, reducing the restoration risk compared with an informal strike off.
