How the deadline works

The review period runs for twelve months from incorporation, or from the date of the previous statement, and you then have fourteen days to file. Filing early resets the clock to that new date rather than the original anniversary, which is useful if you want to align it with another event.

Because there is no automatic penalty scale as there is for late accounts, some directors treat it as low priority. That is a mistake: it is a duty on the company and its officers, and its absence is one of the clearest signals Companies House uses to identify companies that may no longer be trading.

If a confirmation statement becomes significantly overdue, Companies House can send a warning and then begin voluntary strike off proceedings against the company. A struck off company loses its legal existence, its bank account is frozen, and any remaining assets pass to the Crown until restoration is applied for and paid for.

If you have missed the date, file the outstanding statement as soon as the information is accurate rather than waiting, since a late filing stops the strike off clock and shows the company is still active and compliant.
