Companies House is the UK government agency that incorporates and dissolves limited companies and LLPs and keeps the public register. Every company must file annual accounts, a yearly confirmation statement and changes to directors, shareholders and addresses there.
It is an executive agency of the Department for Business and Trade, covering England, Wales, Scotland and Northern Ireland. It registers new companies, records changes, publishes company information free online and strikes off companies that are closed or fail to file.
Since the Economic Crime and Corporate Transparency Act 2023 it also has stronger powers: it verifies the identity of directors and people with significant control, can query or reject information and can share data with law enforcement.
Companies House deals with company law filings. HMRC deals with tax: corporation tax, VAT, PAYE and Self Assessment. A company files accounts with both, but on different deadlines and in different formats, which is why missing one while meeting the other is so common.
