A confirmation statement confirms that the information Companies House holds about your company is correct. It is due at least once every twelve months, within fourteen days of the end of the review period, with an annual fee of £34 online.

What it covers

Registered office, registered email address, directors and secretary, people with significant control, SIC codes, shareholders and share capital, and a statement of lawful purpose confirming the company's intended activities are lawful.

Changes to directors, the registered office or PSCs must be filed separately as they happen, not saved up. The confirmation statement confirms the position, it does not replace the event-driven filings, although share and shareholder changes are reported through it.

Deadlines and consequences

The review period runs from incorporation or the date of the last statement. You can file early, which resets the clock. There is no late filing penalty like the accounts regime, but failing to file is an offence for the directors and Companies House will start strike off proceedings.

Strike off is the real risk: a dissolved company loses its bank balance and assets to the Crown, and restoration is expensive and slow.
