Dividends between UK companies are generally exempt, so profit can move up to the holding company without further tax and be reinvested or held away from trading risk. The substantial shareholding exemption can make the sale of a trading subsidiary held for at least twelve months exempt from corporation tax on the gain.

Group relief allows losses in one company to be set against profits in another, and a group structure can ring-fence property, intellectual property or cash reserves from a risky trade.

What it costs

Each company divides the corporation tax thresholds, so a group of three drops the small profits limit to £16,667 each and can push profit into the 26.5% marginal band. Add accounts, filings and possibly consolidated accounts as the group grows.

Setting up a holding company over an existing trading company usually needs a share for share exchange and HMRC clearance to avoid triggering personal capital gains. It is a planned transaction, not a formation.
