The rules that shape this work

Diligence almost always surfaces the same issues: revenue recognised too early, share issues never filed at Companies House, options promised but never granted, contractor arrangements that look like employment, and R&D claims with no contemporaneous evidence. All five are fixable in advance and expensive to fix mid-round.

SEIS and EIS compliance statements (form SEIS1/EIS1) are filed after the shares are issued and the qualifying trade condition is met, and investors cannot claim relief until certificates follow. Delays here strain relationships with the angels you most want back next round.

Share issues must be filed at Companies House and the statutory registers updated. A cap table in a spreadsheet that does not match the public register is a red flag to any institutional investor.

How we run it

We start by looking at the last filed accounts, your current records and your filing dates, then confirm a fixed scope and fee in writing.

Once the work is live you get reminders ahead of each deadline, a named person to ask questions, and a plain-English summary when the figures are ready, not a PDF with no explanation.

When should we start preparing?

Three to six months before you want the money in the bank. Restating historic accounts and fixing share filings takes weeks, and doing it under term-sheet pressure costs leverage.

What do investors ask for first?

Management accounts, the cap table, the model, the bank statements, key contracts and any HMRC correspondence. If those five are clean and consistent, diligence gets much shorter.

Can you fix historic accounts?

Where a policy was applied incorrectly, yes, accounts can be restated and, if already filed, amended. Better to do it proactively and explain it than to have an investor find it.

Do you help after the round closes?

Yes: share filings, register updates, SEIS/EIS compliance statements, investor reporting setup and the new board reporting calendar.

What records are needed for fundraising & due diligence support?

Keep bank statements, sales and platform reports, purchase invoices, payroll records, VAT workings, finance agreements and Companies House correspondence. We confirm the exact list at onboarding and identify gaps before a filing deadline becomes urgent.

How much does help with fundraising & due diligence support cost?

The fee depends on transaction volume, record quality, VAT and payroll requirements, historic catch-up and the level of reporting needed. We agree a fixed scope and price before technical work starts, with published packages available on our fees page.

Can you take over fundraising & due diligence support from another accountant?

Yes. We request professional clearance, collect the prior records and authorities, check the next Companies House and HMRC deadlines, and give you one clear handover list. The process is normally completed remotely.

Can fundraising & due diligence support be handled online?

Yes. We work through secure cloud records, scheduled reviews and digital approvals, while keeping a named team available by phone, video call and email. Clients can also visit our Morden office by appointment.

Which accounting software works best for fundraising & due diligence support?

We regularly work with Xero, QuickBooks, FreeAgent, Sage and connected sales or expense apps. The right setup depends on transaction volume, integrations and the reports you need, not simply the software brand.

What tax deadlines matter for fundraising & due diligence support?

The relevant calendar may include annual accounts, Corporation Tax payment and return dates, confirmation statements, VAT returns, payroll submissions and Self Assessment. We map the dates from your company year end and registrations.
