The rules that shape this work

A permanent establishment can be created by a fixed place of business or by a person habitually concluding contracts in another country. Once created, part of your profit is taxable there, and a senior salesperson hired abroad is the most common unintentional trigger.

Intragroup transactions must be priced on arm's-length terms. Smaller UK groups may fall within the SME transfer pricing exemption, but the exemption is not universal and does not remove the need for sensible intercompany documentation.

A US 'flip', inserting a Delaware parent above the UK company, can end SEIS/EIS relief for existing investors and disqualify an EMI scheme if not handled with care and, where relevant, HMRC clearance. It is reversible only at cost, so model it before signing anything.

Do we need a US entity to sell to US customers?

Usually not at first. Many UK companies invoice US customers directly for years. An entity becomes necessary for local hiring, certain enterprise procurement requirements, or US investor preference.

What is a Delaware flip and should we do it?

It puts a US company above your UK company, usually at a US investor's request. It has real tax consequences for UK reliefs and founders, so it should be a deliberate, modelled decision, not a term-sheet reflex.

Can we just use an employer of record?

Often yes, for the first hire or two. It is faster and lower risk than a subsidiary, though it does not remove permanent establishment risk if the person's role is contract-concluding.
