Micro-entity accounts are the shortest form of statutory accounts a UK limited company can prepare. They are drawn up under FRS 105, contain a simplified balance sheet and profit and loss account, and carry very few notes.

They exist because the smallest companies were previously preparing disclosures nobody read. If your company is a one or two-person consultancy or a small trading company, this is probably the framework you are already using.

What they contain

A balance sheet with statutory footnotes, a simple profit and loss account, and a statement on the balance sheet confirming the accounts were approved by the board.

FRS 105 prohibits revaluation of property, fair value accounting and deferred tax. That keeps the accounts simple, but it also means the accounts will not show a property at market value, something to weigh if you need to show a lender the real picture.

What still has to be filed

Micro-entity status does not reduce your HMRC obligations. A full company tax return with detailed accounts and computations still goes to HMRC, along with corporation tax nine months and one day after the period end.

Are micro-entity accounts public?

Yes, filed accounts are on the public register at Companies House. Following the Economic Crime and Corporate Transparency Act, small and micro companies must also file a profit and loss account.

Can we choose not to use FRS 105?

Yes. An eligible company may still prepare accounts under FRS 102 Section 1A, which many do when a lender, investor or buyer needs more detail.
