Decisions requiring unanimous or supermajority consent, dividend policy, transfer restrictions and pre-emption rights, good and bad leaver provisions, drag along and tag along on a sale, deadlock resolution, restrictive covenants, and what happens on death or incapacity.

Founder vesting matters more than most early teams expect. Without it, a co-founder who leaves after six months keeps their full stake permanently.

Agreement versus articles

The articles are public and bind the company. The shareholders' agreement is a private contract between the shareholders and can contain commercially sensitive terms. Where they conflict, the drafting needs to be coherent, so both are usually reviewed together.

Investors will bring their own document at a funding round. Having a sensible agreement already in place makes that negotiation faster and cheaper.
