The rules that shape this work

A CIC is an ordinary limited company with a community purpose and an asset lock. It is not a charity and gets no charity tax exemptions, so trading profit is chargeable to corporation tax in the normal way, at 19% to 25%.

Every CIC must file a CIC 34 community interest report alongside its accounts, signed by a director, explaining what the company did to benefit the community, who it consulted, and what directors were paid. The Regulator reads it, and filing accounts without it is rejected.

The asset lock means assets and profits must be used for the community purpose. A CIC limited by shares may pay dividends subject to the cap, currently 35% of distributable profits, and a CIC limited by guarantee pays none at all.

Does a CIC pay corporation tax?

Yes. A CIC has no charitable tax status, so trading profits are taxable. Genuine grants that are not consideration for a supply are often outside the charge, which is why grant income has to be analysed rather than lumped into turnover.

What is the CIC 34 report?

The annual community interest report filed with your accounts. It sets out the community benefit delivered, stakeholder consultation, directors' remuneration and any assets transferred out. It is a narrative document, but the Regulator can act on a poor one.

Can a CIC pay its directors?

Yes, reasonable remuneration is allowed and must be disclosed in the CIC 34. What it cannot do is distribute value beyond the asset lock and, for share companies, beyond the dividend cap.

CIC or charity, which should we be?

A charity gets tax exemptions, gift aid and better access to grant funders, but faces tighter regulation and unpaid trustees. A CIC is quicker to set up, can pay its directors and can trade freely. The right answer depends on funding sources and how commercial the activity is.

What records are needed for cic accountants?

Keep bank statements, sales and platform reports, purchase invoices, payroll records, VAT workings, finance agreements and Companies House correspondence. We confirm the exact list at onboarding and identify gaps before a filing deadline becomes urgent.
