The rules that shape this work

Service charge money is held on trust for the leaseholders under section 42 of the Landlord and Tenant Act 1987. It is not the company's income, so it does not belong in the company's profit and loss account. Two separate sets of figures are needed: the statutory accounts of the company and the service charge accounts for the leaseholders.

Leaseholders have a statutory right to a summary of relevant costs, and most leases require certified service charge accounts within a set period of the year end. Section 20 consultation rules bite on works above £250 per leaseholder and long-term agreements above £100 per leaseholder a year, and failing to consult caps recovery at those figures.

A residents' management company with no activity beyond holding service charge money is often able to file as a very small or dormant-style company, but interest earned on reserve funds can be taxable, and trust income is assessed at the trust rate rather than corporation tax in many structures. The position needs checking rather than assuming nothing is due.

Do service charge accounts need an audit?

Rarely a statutory audit. Most leases require certification by a qualified accountant, and the recognised approach is an independent examination or a report on factual findings under the ICAEW and ACCA guidance, which is what leaseholders are entitled to.

Is service charge money taxable income of the company?

No, it is trust money held for the leaseholders. Interest earned on it can be taxable though, and that is usually the only tax exposure a well-run RMC has.

Does an RMC still file accounts at Companies House?

Yes. It is a company, so it files annual accounts and a confirmation statement, whatever the service charge position. Late filing penalties apply exactly as they do to a trading company.

Can directors be volunteers from the building?

Yes, and most are. They still carry director duties and personal responsibility for the filings, which is why an appointed accountant is worth the modest annual fee.

What records are needed for property management company accountants?
